1. Acceptance of terms for the My Idp Connect

1.1 Overview

These Terms govern the use by you as a learning provider (the "Provider" or "you") of https://my.idp-connect.com ("myidpconnect") to input course information and learning opportunities with the intention to advertise on our websites (domains, sub domains and web pages including, but not limited to, www.whatuni.com, www.postgraduatesearch.com, www.hotcourses.com,www.floodlight.co.uk,www.hotcoursesabroad.com)(the "Sites").

If you do not agree to these Terms, or other operating rules or procedures, you may not use or access myidpconnect.

2. My Idp Connect

2.1 Myidpconnect allows you to:

1. Enter courses and learning opportunities
2. For paying customers, upload images, text and create an institution profile.
3. Download awards badges for use on institution marketing materials.

2.2 IDP Connect has the right to follow their internal retention policy

In practice, if you have not logged into the myidpconnect website for two years, then IDP Connect reserves the right to delete your user profile data. We will give you prior warning before this occurs.

3. Content, Information and Communication on the Sites

3.1 Your Obligations:

1. By using myidpconnect you:
   1. agree to provide true, accurate, current and complete information about yourself and your services;
   2. have the authority to list courses on behalf of the learning provider
   3. agree to maintain and update information that you upload to the Sites to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or if IDP Connect has reasonable grounds to suspect that such information is such, IDP Connect has the right to suspend or terminate all of your accounts and refuse your current or future use of myidpconnect;
   4. agree, if providing courses in UK, comply with myidpconnect UK Data Quality Policy and Minimum Standards, available here.

3.2 Site Content

You agree that all material, including without limitation information, data, software, text, design elements, graphics, images and other content (collectively, "Content"), provided via myidpconnect is protected by copyrights, trademarks or other intellectual property and other proprietary rights and laws. You shall use the Sites' Content only for purposes that are permitted by these Terms and any applicable laws and regulations. Any rights not expressly granted herein are reserved.

3.3 Your Content

You acknowledge and agree that if you contribute, provide or make available any Content to the Sites ("Your Content"), you hereby grant to IDP Connect a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, transferable right and license to use, reproduce, adapt, modify, distribute, translate, publish, create derivative works based on, perform, display and otherwise exploit Your Content, in whole or in part, in any media for any purpose whatsoever, without compensation to you or any other provider of Your Content. You represent and warrant that you have all the rights, power and authority necessary to grant the aforementioned license, and that all Your Content.

1. does not infringe the rights of any third party and
2. complies with all applicable UK laws and regulations.
   In addition, classes must be accurately and truthfully described when you submit class information to the Sites.

If IDP Connect determines, in its sole discretion, that the Provider misrepresented a class or otherwise does not comply with these Terms, IDP Connect has the right to remove the relevant class (and all other classes listed on the Site). IDP Connect reserves the right to remove any of Your Content from the Site at any time for any reason.

3.4 Content Restrictions

You understand that you are liable for all Content, in whatever form, that you provide via myidpconnect. You agree not to use myidpconnect to upload, post, email or otherwise make available any Content that:

1. is unlawful, harmful, threatening, harassing, defamatory, obscene, libellous, invasive of another's privacy, or infringes upon another person or entity's intellectual property rights;
2. Involves impersonating any person or entity, or falsely stating or misrepresenting your affiliation with a person or entity;
3. you do not have a right to make available; or
4. contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.

3.5 IDP Connect Remedial Rights

You acknowledge that IDP Connect does not check or verify any Content provided or made available by you or any third party via myidpconnect, but that IDP Connect shall have the right to monitor, alter, edit, or remove any of Your Content, in whole or in part. You acknowledge and agree that IDP Connect may store Your Content and may also disclose Your Content for any reason should IDP Connect deem this to be necessary (under law or for any other reason).

3.6 Trademark Information

The trademarks, service marks, and logos of IDP Connect and the Sites used and displayed in connection with myidpconnect are registered trademarks of IDP Connect.

3.7 Provider warranties

The Provider warrants that it is:

1. providing specialist skills, knowledge and experience and will not hold out to be a worker or employee of IDP Connect or IDP Education;
2. solely responsible for the performance and quality of the Classes;
3. solely responsible in conducting any searches or enquiries into the identity of students attending, or enquiring for a courses Attendees via one of our websites; and
4. solely responsible for setting the method, timing and basis on which Classes are to be provided.

3.8 Complete University Guide award badges

Complete University Guide offers free-to-use award badges, highlighting your institution's success in the new 2023 Complete University Guide league tables (rankings in the main University and Arts, Drama & Music league tables, by region, and in the 74 subject tables).

Download your institution's award badges and use them online and in print to promote your institution's success.

By downloading any award badge you indicate acceptance of the terms and conditions of use listed below and agree to abide by them. If you do not agree to these terms, please refrain from downloading any award badge.

If you do not follow these terms and conditions of use, we reserve the right to demand removal of the Complete University Guide award badges from any published material, online or in print.

The award badges remain the copyright of Complete University Guide Limited ("we").

You may only download and display Complete University Guide award badges that your institution is entitled to.

You may not use Complete University Guide award badges to promote anything other than your institution's ranking in a Complete University Guide league table.

If you publish the badges in print you must also include the URL www.thecompleteuniversityguide.co.uk: if you publish online, you must include a backlink to the Complete University Guide website using the URL provided in the excel spreadsheet along with the badges.

You must inform us when you have used an award badge by emailing admin@thecompleteuniversityguide.co.uk and sharing the URL of the relevant page(s) or a PDF of any printed material using the award badges. When you email us we will retain the following data: URL and/or PDF, your institution name. We will not retain any other information and your email will be deleted within one month of receipt.

You may adjust the size and resolution of the award badges but you may not make any change to the design of an award badge at all.

4. Account, Password and Security

As part of signing up to use myidpconnect, you will create a password and account. You are responsible for maintaining the confidentiality of the password and account, and are responsible for all activities that occur under your account, including, without limitation, all actions by sub-users registered under your account (employees or other third parties who you allow to access your account). You agree to immediately notify IDP Connect of any unauthorised use of your account or of any other breach of security. IDP Connect cannot, and will not, be liable for any loss, damage or other liability arising from your failure to comply with this Section or from any unauthorised access to or use of your account.

5. Termination

IDP Connect, in its sole discretion, may terminate your account, and remove and discard any and all of Your Content present on myidpconnect, at any time for any reason including, without limitation, for failure to maintain accurate or current information, or if IDP Connect believes that you have violated or acted inconsistently with the letter or spirit of these Terms. You agree that any termination of your right to use myidpconnect may be carried out without prior notice.

You agree that IDP Connect shall not be liable to you or to any third-party for any termination of your right to use or otherwise access myidpconnect.

All provisions of these Terms that by their nature should survive termination of your right to use myidpconnect shall survive.

6. Indemnity

You shall indemnify and hold IDP Connect harmless from and against all reasonable liability, actions, claims (including claims by members of the public or other customers) demands, costs, charges, losses and expenses (including legal expenses on an indemnity basis) incurred by IDP Connect arising out of your breach of these Terms.

7. Disclaimer of Warranties

Notwithstanding anything else in these Terms, all other conditions, warranties or other terms which might have effect between the parties or be implied or incorporated into these Terms, whether by statute, common law or otherwise, are hereby excluded to the fullest extent permissible by law, including the implied conditions, warranties or other terms as to satisfactory quality.

8. Limitation of Liability

8.1 To the maximum extent permissible in law, IDP Connect excludes all liability for any indirect, additional or consequential loss or any kind however incurred by you, arising in connection with these Terms.

8.2 Nothing in these Terms excludes or limits IDP Connect's liability for:

1. Death or personal injury caused by IDP Connect's negligence
2. Fraud or fraudulent misrepresentation or
3. Breach of any obligation implied by statutory law which cannot lawfully be excluded.

9. Privacy

All information provided by you or collected by IDP Connect is governed by the IDP Connect Privacy Notice, and is hereby incorporated by reference into these Terms.

10. Accessing personal data through My IDP Connect

The My IDP Connect portal provides access to data on how users have engaged with your provider information. For example, you can download a list of users who have made a prospectus request through one of our websites. You can only access the data submitted by users who made a specific enquiry to your institution, and this information is not available to any other providers. These users have only consented to be contacted in relation the specific institution enquiry they made. Their data should not be used for any other purpose without gaining their explicit consent.

You can also access statistical information on how your provider information is accessed across our websites. For example, how many people have viewed your provider profile and where they are from. All this information is presented in an aggregated, anonymised format. It is not possible to identify individual users from the statistical data.

11. Notices

Notices to you may be sent via either email or regular mail to the address in IDP Connect records. IDP Connect may also provide notices of changes to these Terms or other matters by displaying notices or links to notices to you generally on the Sites. Any notice from you to IDP Connect shall be sent in writing to: IDP Connect Ltd, First Floor, Bedford House, 69-79 Fulham High Street, London, SW6 3JW, or via email.

12. Governing Law

These Terms shall be governed by and construed in accordance with English law and the parties hereby agree to submit to the exclusive jurisdiction of the English courts.
